These Terms of Service are a legal agreement between you and JuniperBooks. Please read them carefully before using JuniperBooks.

JuniperBooks is currently an unincorporated project. In these Terms, "JuniperBooks," "we," "us," and "our" mean the individual or individuals operating the JuniperBooks website, application, and related services.

By creating an account, checking the acceptance box, accessing the Service, or using the Service, you agree to these Terms. If you are using JuniperBooks for a business, you represent that you are authorized to accept these Terms on behalf of that business.

1. The Service

JuniperBooks is an early access software service that helps U.S. small businesses organize bookkeeping information. The Service currently allows users to upload CSV statements, preview transactions, identify possible duplicates, categorize transactions, review suggested categories, add notes, add manual transactions, view monthly books, download transaction exports, and generate simple reports.

JuniperBooks may use artificial intelligence and other automated tools to help sort transactions, suggest categories, identify patterns, and generate plain-English insights. These features are intended to help you review and organize your business records. They are not a substitute for your own review or for advice from a qualified professional.

2. Early Access and Beta Product

JuniperBooks is currently offered as a free early access or beta product. You understand and agree that:

  1. The Service is still being tested and improved.
  2. Features may change, break, be removed, or be replaced.
  3. The Service may contain errors, bugs, inaccurate outputs, unavailable features, or incomplete functionality.
  4. We may limit, suspend, or discontinue the Service or any feature at any time.
  5. We do not provide any service level agreement, uptime guarantee, support guarantee, or data availability guarantee during early access.

You should not rely on JuniperBooks as your only source of bookkeeping, accounting, tax, financial, or compliance records. You are responsible for maintaining your own backups and records.

3. Business Use Only

JuniperBooks is intended only for U.S. small businesses and their authorized users. You may not use JuniperBooks for personal, household, consumer, non-U.S., or non-business purposes.

By using the Service, you represent and warrant that:

  1. You are at least 18 years old.
  2. You are located in the United States.
  3. You are using the Service only for a U.S. business.
  4. You have the authority to upload, view, process, and manage the business information you provide.
  5. If you create or manage a business workspace, you are authorized to act for that business.
  6. You will not use the Service for any business or activity that is illegal, fraudulent, deceptive, or prohibited by these Terms.

4. Account Registration and Security

To use JuniperBooks, you must create an account. You agree to provide accurate and complete account information and to keep that information current.

You are responsible for:

  1. Keeping your login credentials secure.
  2. All activity under your account.
  3. All activity by users you invite to your business workspace.
  4. Promptly notifying us if you believe your account has been compromised.

We may use third-party authentication, database, hosting, email, security, and infrastructure providers to operate the Service.

5. Business Workspaces and Team Access

JuniperBooks may allow owners to invite members to a business workspace. Owners and members may have different permissions.

Owners may be able to manage team access, upload statements, edit business details, undo uploads, delete books or transactions, and perform other administrative actions.

Members may be able to upload statements, edit transactions, categorize items, review books, and perform other non-owner actions.

You are responsible for deciding who should have access to your business workspace. If you invite a user, you are responsible for that user's access to business data and actions within the workspace. You should remove users who no longer need access.

6. Uploaded Files, Transactions, and Business Data

The Service currently supports CSV uploads from banks, cards, and other financial sources. You are responsible for ensuring that you have the right to upload and process all files and data you provide.

"Customer Data" means data, files, content, records, transactions, business details, notes, categories, reports, and other information that you or your authorized users submit to or generate through the Service.

You retain ownership of your Customer Data. You grant JuniperBooks a limited, non-exclusive, worldwide license to host, copy, process, transmit, display, analyze, and use Customer Data as needed to:

  1. Provide, operate, and maintain the Service.
  2. Authenticate users and manage workspaces.
  3. Upload, parse, preview, categorize, and report on transactions.
  4. Detect possible duplicates, errors, abuse, or security issues.
  5. Provide AI-powered suggestions and insights.
  6. Provide customer support.
  7. Debug, secure, and improve the Service.
  8. Comply with law and enforce these Terms.

We do not claim ownership of your Customer Data.

7. CSV Uploads and Duplicate Detection

JuniperBooks may preview uploaded CSV files before adding transactions. Nothing is added until you confirm the import.

JuniperBooks may identify possible duplicate transactions. Duplicate detection is only a tool to help you review imports. It may identify a transaction as a possible duplicate when it is not actually a duplicate, and it may fail to identify true duplicates. You are responsible for reviewing possible duplicates and deciding whether to import, skip, edit, or remove transactions.

8. AI Features and Automated Suggestions

JuniperBooks uses OpenAI and may use other AI or automation providers in the future to help provide categorization, review, insight, and reporting features.

AI and automated outputs may be incomplete, inaccurate, misleading, inconsistent, or inappropriate for your business. You are responsible for reviewing all categories, suggested categories, notes, reports, exports, summaries, and insights before relying on them.

You agree that:

  1. AI suggestions are not accounting advice.
  2. AI suggestions are not tax advice.
  3. AI suggestions are not legal advice.
  4. AI suggestions are not financial advice.
  5. AI suggestions may not match how your CPA, bookkeeper, tax preparer, or financial advisor would treat a transaction.
  6. You must review and approve outputs before using them for business decisions, tax filings, financial statements, loan applications, investor materials, or compliance purposes.

We do not use Customer Data to train third-party foundation models, and we do not sell Customer Data. We may use Customer Data to provide, secure, debug, and improve JuniperBooks, including improving categorization and review features for your account or workspace. We may also use aggregated or de-identified information to understand and improve the Service.

9. Not Professional Advice

JuniperBooks is a software tool. JuniperBooks is not a CPA, accounting firm, bookkeeping firm, tax preparer, law firm, financial advisor, investment advisor, payroll provider, bank, lender, broker, fiduciary, or regulated financial institution.

The Service may provide transaction categories, tax-related labels, monthly reports, CPA-style reports, exports, summaries, and insights. These are informational only.

You are solely responsible for:

  1. Reviewing transaction categories and reports.
  2. Confirming that your books are accurate.
  3. Maintaining complete and accurate business records.
  4. Preparing and filing tax returns.
  5. Paying taxes and other obligations.
  6. Deciding whether a transaction is deductible, capitalized, personal, business-related, or otherwise reportable.
  7. Consulting a qualified CPA, bookkeeper, tax preparer, attorney, or financial advisor when appropriate.

You should not rely on JuniperBooks as the final authority for accounting, tax, legal, regulatory, or financial decisions.

10. No Bank Connection or Bank Credentials

The current Service supports CSV uploads only. JuniperBooks does not currently connect directly to your bank account, card account, or financial institution through Plaid or another bank-linking service.

You should not provide bank login credentials, card login credentials, passwords, PINs, one-time codes, or similar access credentials to JuniperBooks.

11. Acceptable Use

You agree not to:

  1. Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose.
  2. Upload data you do not have the right to upload.
  3. Use the Service for personal, household, consumer, non-U.S., or non-business purposes.
  4. Upload malware, harmful code, or content designed to interfere with the Service.
  5. Attempt to gain unauthorized access to the Service, other accounts, other workspaces, or our systems.
  6. Bypass, disable, or interfere with authentication, rate limits, bot detection, security features, or access controls.
  7. Reverse engineer, copy, scrape, crawl, or extract the Service except as permitted by law.
  8. Use the Service to build or train a competing product without our permission.
  9. Misrepresent your identity, authority, or relationship with a business.
  10. Upload personal information, sensitive information, or third-party information that is not reasonably necessary for business bookkeeping.
  11. Use the Service in a way that could damage, overload, or impair the Service.
  12. Use the Service to generate or facilitate accounting, tax, financial, legal, or business fraud.

We may suspend or terminate access if we believe you have violated these Terms or created risk for JuniperBooks, other users, or third parties.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect information. By using the Service, you acknowledge the Privacy Policy.

The Privacy Policy is not a contract in the same way these Terms are, but it describes our data practices. If there is a conflict between these Terms and the Privacy Policy, these Terms control for contractual matters, and the Privacy Policy controls for privacy disclosures.

13. Confidentiality

Customer Data may include non-public business information. We will use Customer Data only as described in these Terms and the Privacy Policy.

You agree that the Service, software, workflows, designs, product plans, and non-public information about JuniperBooks are confidential to JuniperBooks. You may not disclose non-public information about JuniperBooks except as permitted by us or as required by law.

14. Fees and Future Paid Plans

JuniperBooks is currently offered free of charge during early access. We may introduce paid plans, usage limits, premium features, or other fees in the future.

We will not charge you unless you agree to paid terms or provide payment information through an approved payment flow. If we introduce paid plans, we may limit or discontinue free access, but we will provide notice where reasonable.

15. Third-Party Services

JuniperBooks uses third-party service providers to operate the Service, including hosting, database, authentication, AI processing, email delivery, security, and bot detection providers.

Third-party services may process Customer Data or other information as needed to provide the Service. We are not responsible for third-party services that you access outside JuniperBooks or third-party websites linked from JuniperBooks.

16. Ownership of the Service

JuniperBooks and its licensors own all rights, title, and interest in the Service, including software, designs, text, graphics, workflows, interfaces, features, models, prompts, analytics, and related intellectual property, except for Customer Data.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your internal business bookkeeping support during the term of your account.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works from the Service except as expressly permitted by these Terms.

17. Feedback

If you provide feedback, suggestions, ideas, comments, bug reports, or feature requests, you grant JuniperBooks a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

This does not give us ownership of your Customer Data.

18. Service Availability and Changes

We may modify, update, suspend, limit, or discontinue the Service or any feature at any time. We may also impose usage limits, storage limits, upload limits, member limits, or other restrictions.

We are not liable for any modification, suspension, downtime, data loss, or discontinuation of the Service, except to the limited extent required by law.

19. Data Preservation and Backups

You are responsible for keeping your own copies of business records, bank statements, tax records, transaction exports, reports, and other information.

JuniperBooks is not a system of record for tax, accounting, legal, regulatory, audit, or financial reporting purposes. You should keep original records and independent backups.

20. Termination

You may stop using the Service at any time. You may request deletion of your account or business workspace by contacting us at juniper@juniperbooks.ai.

We may suspend or terminate your access at any time if:

  1. You violate these Terms.
  2. You create security, legal, financial, operational, or reputational risk.
  3. We discontinue the Service.
  4. We are required to do so by law.
  5. Your use is inconsistent with the intended early access purpose of the Service.

After termination, your right to use the Service ends. Sections that by their nature should survive will survive, including ownership, confidentiality, disclaimers, limitations of liability, indemnity, arbitration, and governing law.

21. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim all warranties, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, title, non-infringement, security, and error-free operation.

We do not warrant that:

  1. The Service will be uninterrupted, secure, accurate, complete, or error-free.
  2. AI suggestions, categories, reports, insights, exports, or duplicate detection will be correct.
  3. The Service will meet your accounting, tax, legal, financial, regulatory, or business needs.
  4. The Service will identify all errors, duplicates, missing transactions, or categorization issues.
  5. Data will always be available, preserved, or recoverable.

You use the Service at your own risk.

22. Limitation of Liability

To the fullest extent permitted by law, JuniperBooks and its operators, contributors, contractors, service providers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost data, lost business opportunities, business interruption, tax penalties, accounting errors, financial losses, or reputational harm, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for any claim relating to the Service or these Terms will not exceed the greater of:

  1. The amount you paid to JuniperBooks for the Service in the three months before the event giving rise to the claim; or
  2. One hundred dollars.

Because the Service is currently free, this limitation is an important basis of the bargain between you and JuniperBooks.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold harmless JuniperBooks and its operators, contributors, contractors, service providers, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  1. Your use of the Service.
  2. Your Customer Data.
  3. Your violation of these Terms.
  4. Your violation of law.
  5. Your violation of third-party rights.
  6. Your accounting, tax, legal, financial, or business decisions.
  7. Any dispute between you and another user, business owner, member, advisor, CPA, bookkeeper, or third party.

24. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

The Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions below.

25. Informal Dispute Resolution

Before filing a claim, you and JuniperBooks agree to try to resolve the dispute informally.

The party raising a dispute must send written notice to the other party. Notices to JuniperBooks must be sent to juniper@juniperbooks.ai. The notice must describe the nature of the dispute and the relief requested.

The parties will attempt in good faith to resolve the dispute for at least 30 days after notice is received. If the dispute is not resolved within that period, either party may proceed to arbitration as described below.

26. Binding Arbitration

Except for the exceptions below, you and JuniperBooks agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, your account, Customer Data, or the relationship between you and JuniperBooks will be resolved by binding arbitration rather than in court.

The arbitration will be administered by the American Arbitration Association under its Commercial Arbitration Rules, unless another set of AAA rules is required by law. If AAA is unavailable, the parties will agree on another arbitration provider or ask a court to appoint one.

The arbitration will take place in Santa Clara County, California, unless the arbitrator allows remote proceedings or the parties agree otherwise. The arbitrator may award any relief available in court, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.

The arbitrator will have authority to decide issues of arbitrability, enforceability, interpretation, and validity of this arbitration agreement, except that a court will decide issues relating to the class action waiver below.

27. Exceptions to Arbitration

Either party may bring the following claims in court:

  1. Claims that qualify for small claims court.
  2. Claims for injunctive or equitable relief relating to intellectual property, confidentiality, unauthorized access, security, or misuse of the Service.
  3. Claims that cannot be arbitrated as a matter of law.

28. Class Action Waiver

You and JuniperBooks agree that disputes will be resolved only on an individual basis.

You may not bring a claim as a plaintiff or class member in any class, collective, consolidated, private attorney general, representative, or similar proceeding. The arbitrator may not consolidate claims or preside over any class, collective, consolidated, private attorney general, representative, or similar proceeding.

If this class action waiver is found unenforceable, then the entire arbitration agreement will be unenforceable for that claim.

29. Jury Trial Waiver

To the fullest extent permitted by law, you and JuniperBooks waive any right to a jury trial for any dispute arising out of or relating to these Terms, the Service, your account, or Customer Data.

30. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms, updating the effective date, sending an email, showing an in-app notice, or using another reasonable method.

Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

31. Miscellaneous

These Terms are the entire agreement between you and JuniperBooks regarding the Service.

If any part of these Terms is found unenforceable, the remaining parts will remain in effect.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Service.

Our failure to enforce a provision is not a waiver of our right to enforce it later.
